About the Role / Are you up for the challenge?
Assist in the development of commercial strategies, undertake high level contract and tender reviews and provide authoritative advice to senior management on matters relating to commercial opportunities and risks associated with multiple projects within one or more regions of the Business Unit to ensure sustainable financial and operational success of the BU.
What you will do;
General
- Assist the General Manager of Commercial and Risk develop commercial strategies, policies and procedures.
- Assist the General Manager of Commercial and Risk develop and deploy appropriate training programs to ensure commercial acumen is established at all levels of the BU.
- Advise senior management on legislative changes that are likely to impact commercial policies or existing contractual arrangements
- Provide regular management reports to senior management against key measures and indicators
- Perform all duties in accordance with John Holland policies, processes, systems and procedures
Pre Contract
- Assist bid teams with commercial strategies, review of Tender contractual provisions and preparation of the Contract Risk Assessment - issue and present to PreTender Team.
- Review terms, conditions and risks of proposed client novated consultants and/or subcontractors
- Ensure that all TSA and CSA, Subcontract and Supply documents are prepared as required by the bid team / senior management and provide advice as to the most appropriate models required
- Ensure that the contractual qualifications are in consultation with key members of bid team/senior management (including RFls to try and negate/reduce the need for qualifications) in line with Corporate guidelines
- Promptly provide responses to clients' commercial/contractual requirements pre and post submission of tender including, where necessary, negotiation of Head Contract terms and conditions.
- Ensure that, prior to signing, the Head Contract document contains the correct information and details (including obtaining sign off from Pre Contracts staff for technical components)
Legal Support
- Provide / obtain independent legal advice and recommendations to the Building Regional business to ensure that any commercial arrangement and risk management is acceptable, including reference to the John Holland required Corporate Limits of Liability Guidelines and applicable legislation.
Post Contract
- Support Project Commercial Managers in the preparation, issue and presentation of Rights and Obligations Summary at Project launch meeting
- Undertake site commercial audits to check on conformance with good contract admin practices and compliance with JH Procedures, Contract, legislation and SOPA etc.
- Review the proforma subcontract, consultancy, supply agreement etc. terms prepared by the Project for compliance with the Head Contract
- Provide advice to site teams about contractual issues and implementation of documents e.g. subcontract conditions, SOPA, EOT, scope of works, contract interpretation, variations, claims, defects etc.
- Manage adjudication claims and responses and manage subcontractor insolvencies/liquidation.
- Mentoring of Site Commercial Staff in regards to contractual issues and strategies etc.
- Ongoing tracking of commercial staff competency, training and staff development in collaboration with Project and Operations Managers
- Support/management & review of Contractual & Insurance Claims where requested
- If requested by GM, take over contractual management of distressed Projects to maximise income and enhance business sustainability
- Provide updates and briefing to internal/external legal counsel on issues and coordinate provision of documentation to legal counsel where required
- Provide commercial guidance to project directors/managers on contract and risk management methodology regarding costings, programming, etc.
- Review project prepared contract/subcontract variations and delays where requested/required by Project and/or Operations managers
- Undertake post-contract completion reviews, analyse results, undertake corrective actions
- Financial management: Ensure projects maintain strong contract, commercial and financial risk management, accurate forecasting of both costs and revenue, and take corrective action in line with authority and reporting frameworks and maximise the profit margin for the project
- Lead risk workshops where required for regional New Contracts and Operations.
What we are looking for;
Qualifications
- Bachelor degree or equivalent in Law, Commerce, Accounting, Quantity Surveying, Construction Management, Engineering, Business or other associated disciplines
- Post graduate qualifications e.g. graduate certificate, graduate diploma in Commerce, Accounting, Business, Construction, Engineering, Property, Quantity Surveying, Law or other associated disciplines
Experience
- 15 years’ + experience in commercial and contract administration gained on construction, engineering or associated projects or related business positions.
- Advanced skills in procedures for project commercial management, contract administration, general business management and project management
- Reporting and compliance with respect to commercial performance and legislation/code to prevent potential business exposure
- Skills in quantitative and qualitative risk assessment and development of risk controls and actions applicable to delivery of and implementation on projects
- Demonstrated strong negotiation skills
- Demonstrated strong EQ and people skills
- Experience in interpreting contract clauses and drafting appropriate commercial clauses.
